Terms & Conditions of Business

1. Scope of Services
Convenient (“the Agency”) provides specialized executive search and recruitment services to the Client for the identification and placement of leadership, commercial, and technical talent. The Agency operates primarily within the Fintech, SaaS, and Digital Asset sectors. These terms apply to all candidate introductions made by the Agency to the Client across our global hubs in the United Kingdom, United States, United Arab Emirates, and South Africa.
2. Fees and Payment Terms
Contingency/Success Fee: Unless otherwise agreed in a specific Statement of Work (SOW), the placement fee is calculated as a percentage (typically 20–30%) of the Candidate’s Gross Annual Remuneration (GAR).
Retained Search: For executive mandates, fees are typically split into three installments: 1/3 on Commencement (Retainer), 1/3 on Shortlist Delivery, and 1/3 on Candidate Acceptance.
Payment Due: All invoices are payable within 14 calendar days of the invoice date. Late payments may incur interest at the statutory rate of the relevant governing jurisdiction.
3. Candidate Ownership & Introductions
12-Month Rule: An "Introduction" occurs when the Agency provides a CV or candidate profile to the Client. If the Client engages the Candidate in any capacity within 12 months of the original introduction, the full placement fee remains payable.
Referrals: If the Client refers an introduced candidate to a third party (e.g., a subsidiary or partner) who subsequently hires them, the Client remains liable for the placement fee to the Agency.
4. Guarantee & Replacement Policy
Should a Candidate’s employment terminate within the first 90 days (the "Guarantee Period"), the Agency will endeavor to find a replacement at no additional cost, provided that:
All Agency invoices were paid in full by the due date.
The termination is not due to redundancy, restructuring, or change in job description.
The Agency is notified in writing within 7 days of the termination.
5. Confidentiality & Data Protection
Global Compliance: Both parties agree to comply with all applicable data protection laws relative to the locations of operation, including but not limited to:
UK GDPR (United Kingdom)
CCPA (United States / California)
UAE Federal Data Protection Law (United Arab Emirates)
POPI Act (South Africa)
Data Usage: Candidate data must be processed lawfully, for the specific purpose of recruitment, and stored with appropriate technical and organizational security safeguards.
6. Liability
While the Agency performs rigorous screening (interviews, reference checks, and qualification verification), the final decision to hire rests solely with the Client.
The Agency is not liable for any loss, damage, or expense resulting from the Candidate's acts or omissions once engaged by the Client.
7. Governing Law
These terms are governed by the laws of the jurisdiction of the Convenient office managing the search:
London: England & Wales
San Francisco: State of California
Dubai: United Arab Emirates / DIFC
Cape Town: Republic of South Africa
Both parties submit to the non-exclusive jurisdiction of the relevant courts in these territories.
